1. Acceptance of Terms

By accessing or using the PartnersPerk platform and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

PartnersPerk is a perk exchange network that enables SaaS companies to discover, connect with, and exchange mutual perks with partner companies. The platform facilitates partnership discovery, perk listing, exchange management, and partnership analytics.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • One account per company is permitted unless otherwise agreed in writing.
  • You must be at least 18 years old and represent a legally registered business entity.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Misrepresent your company, perks, or partnership offerings.
  • Attempt to gain unauthorized access to the Service or other users' accounts.
  • Interfere with or disrupt the Service's infrastructure or other users' experience.
  • Scrape, harvest, or collect data from the platform without authorization.
  • Use the platform solely to solicit or advertise without genuine intent to exchange perks.
  • Reverse engineer, decompile, or disassemble any part of the Service.

5. Perk Exchanges

  • PartnersPerk facilitates connections between companies but is not a party to perk exchange agreements between users.
  • You are responsible for fulfilling any perks you offer through the platform.
  • All perk listings must accurately describe the benefits, limitations, and terms of the offering.
  • PartnersPerk reserves the right to remove any perk listing that violates these Terms or our content policies.
  • Disputes between exchange partners should first be resolved directly between the parties. PartnersPerk may offer mediation at its discretion.

6. Subscription & Payments

  • Paid plans are billed in advance on a monthly or annual basis depending on your selected plan.
  • All fees are non-refundable except as described in our Refund Policy.
  • We reserve the right to modify pricing with 30 days' advance notice.
  • Failure to pay may result in suspension or termination of your account.
  • Taxes are not included in listed prices and are your responsibility where applicable.

7. Intellectual Property

The Service, including its design, features, code, and content, is owned by PartnersPerk and protected by intellectual property laws. You retain ownership of the content you upload to the platform but grant PartnersPerk a non-exclusive, worldwide license to use, display, and distribute your content as necessary to operate the Service.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described therein.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure. We make no warranties regarding the quality, accuracy, or reliability of any perks exchanged through the platform.

10. Limitation of Liability

To the maximum extent permitted by law, PartnersPerk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless PartnersPerk, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the account at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination will remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We may revise these Terms at any time by posting the updated version on this page. Material changes will be communicated via email or in-app notification at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
